This Membership Agreement ("Agreement") sets out the terms and conditions governing access to and use of the Live Trade platform ("Platform") and the services provided by Live Trade ("Live Trade", "we", "us", or "our").

By registering for an account, accessing the Platform, or using any of our services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree with these terms, you must not register for or use the Platform.

1. Membership Eligibility

Membership is available to individuals and legally established businesses that are capable of entering into legally binding agreements.

Where an account is created on behalf of a company or other legal entity, the individual registering the account represents and warrants that they have the authority to act on behalf of that entity.

Live Trade reserves the right to refuse, suspend, or terminate membership where eligibility requirements are not met or where the Platform is used in violation of this Agreement or applicable law.

2. Account Registration

Members are required to provide accurate, complete, and up-to-date information during registration.

Members are responsible for maintaining the accuracy of their account and company information and must promptly update any information that becomes inaccurate or outdated.

Each member is responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their account.

Members must immediately notify Live Trade if they become aware of any unauthorized access, suspected security breach, or unauthorized use of their account.

3. Business Information

Live Trade is a B2B platform designed to facilitate business connections, commercial opportunities, product and service discovery, and communication between businesses.

Members are responsible for ensuring that all company information, product details, service descriptions, contact information, certifications, documents, and other materials submitted to the Platform are accurate, lawful, and not misleading.

Live Trade may request additional information or documentation where reasonably necessary to verify a member, business, product, service, or commercial activity.

4. Acceptable Use

Members agree to use the Platform solely for legitimate business purposes and in compliance with all applicable laws and regulations.

Members must not:

  • Provide false, misleading, fraudulent, or deceptive information;

  • Impersonate another individual, company, or organization;

  • Use the Platform for unlawful, fraudulent, or unauthorized activities;

  • Upload or distribute malicious software, harmful code, or other disruptive content;

  • Attempt to gain unauthorized access to another member's account or data;

  • Interfere with the operation, security, or integrity of the Platform;

  • Use automated systems to collect, scrape, copy, or systematically extract Platform data without authorization;

  • Publish content that infringes third-party intellectual property or other legal rights;

  • Use the Platform to distribute spam, unsolicited commercial communications, or abusive content;

  • Engage in activities involving money laundering, sanctions violations, corruption, bribery, or other prohibited commercial practices.

5. Business Transactions

Live Trade provides a platform for businesses to discover, communicate, and develop commercial relationships.

Unless expressly stated otherwise, Live Trade is not a party to any transaction, agreement, contract, quotation, purchase order, shipment, payment, or other commercial arrangement entered into between members.

Members are solely responsible for conducting appropriate due diligence before entering into commercial relationships or transactions with other members.

Members are responsible for verifying product specifications, pricing, quantities, quality, certifications, delivery terms, payment conditions, legal compliance, and other relevant commercial matters.

Live Trade does not guarantee the quality, legality, availability, performance, or accuracy of products, services, companies, or information published by members.

6. User-Generated Content

Members may submit company profiles, product information, images, documents, descriptions, advertisements, messages, reviews, and other materials to the Platform ("Member Content").

Members retain ownership of their Member Content.

By submitting Member Content, the member grants Live Trade a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and use such content as reasonably necessary to operate, maintain, promote, and improve the Platform and its services.

Members represent and warrant that they have all necessary rights, permissions, and licenses to submit and use their Member Content.

Live Trade reserves the right to remove or restrict content that violates this Agreement, applicable law, or the rights of third parties.

7. Intellectual Property

All rights, title, and interest in and to the Platform, including its software, design, layout, trademarks, logos, text, graphics, databases, and other proprietary materials, are owned by or licensed to Live Trade unless otherwise stated.

Nothing in this Agreement grants members ownership of Live Trade's intellectual property.

Members may not copy, reproduce, modify, distribute, reverse engineer, republish, or commercially exploit any part of the Platform without prior written authorization.

8. Fees and Paid Services

Certain services or membership plans may be subject to fees.

Where applicable, the relevant pricing, billing period, payment terms, renewal conditions, and cancellation provisions will be presented to the member before purchase.

Members are responsible for providing accurate billing and payment information and for paying all applicable fees when due.

Live Trade reserves the right to change pricing or introduce new paid services, subject to applicable notice requirements.

9. Suspension and Termination

A member may terminate their account in accordance with the applicable account cancellation procedures.

Live Trade may suspend, restrict, or terminate an account where:

  • The member violates this Agreement;

  • The member provides false or misleading information;

  • The account is used for unlawful or fraudulent purposes;

  • The member creates a security or operational risk;

  • The member infringes the rights of Live Trade or third parties; or

  • Continued access to the Platform is otherwise prohibited or inappropriate under applicable law.

Termination does not affect rights or obligations that accrued before the effective date of termination.

10. Privacy and Data Protection

Personal and business information collected through the Platform will be processed in accordance with Live Trade's applicable privacy and data protection policies.

Members are responsible for ensuring that any personal information they provide or share through the Platform is processed lawfully and with appropriate authorization.

Members should review the applicable Privacy Policy for further information regarding the collection, use, storage, and protection of personal data.

11. Disclaimer

The Platform is provided to facilitate business networking and commercial communication.

To the extent permitted by applicable law, Live Trade does not warrant that the Platform will always be available, uninterrupted, secure, error-free, or free from harmful components.

Live Trade does not guarantee the accuracy, completeness, reliability, or suitability of information provided by members or third parties.

Members are responsible for making their own commercial, financial, legal, and operational decisions.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Live Trade shall not be liable for indirect, incidental, consequential, special, or business-related losses arising from or relating to the use of the Platform or transactions between members.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.

13. Indemnification

Members agree to indemnify and hold harmless Live Trade, its affiliates, officers, employees, and representatives from claims, liabilities, damages, losses, costs, and expenses arising from:

  • Their violation of this Agreement;

  • Their unlawful use of the Platform;

  • Their Member Content;

  • Their infringement of third-party rights; or

  • Their commercial transactions or relationships with other members.

14. Amendments

Live Trade may update or modify this Agreement from time to time to reflect changes in its services, business practices, legal requirements, or regulatory obligations.

Where required by applicable law, members will be notified of material changes.

Continued use of the Platform following the effective date of an updated Agreement constitutes acceptance of the revised terms, unless otherwise required by law.

15. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws applicable to Live Trade and its place of establishment, without regard to conflict-of-law principles.

Any disputes arising out of or relating to this Agreement shall be subject to the jurisdiction of the competent courts and authorities determined in accordance with applicable law.

16. Severability

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid or unenforceable provision shall be interpreted or replaced to the extent necessary to achieve its intended purpose while remaining consistent with applicable law.

17. Entire Agreement

This Membership Agreement, together with any applicable policies, terms, and conditions referenced herein, constitutes the entire agreement between the member and Live Trade regarding the use of the Platform and supersedes any prior agreements or understandings relating to the same subject matter.
